These Terms & Conditions ("Terms") govern your use of the Bienvenido mobile application and related services (the "App"), provided by KITOSO, LLC, a Florida limited liability company ("Bienvenido," "we," "us," or "our").

By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. What Bienvenido Is — and Is Not

Bienvenido is a free communication and visitor-logging tool for gated communities. It allows residents to pre-register visitors, allows administrators and guards to confirm arrivals and broadcast messages, and keeps a digital log of activity.

Bienvenido is a convenience tool only. It is not a security system, alarm, monitoring service, or guarantee of safety, and it does not replace guards, gates, locks, surveillance, emergency services, or human judgment. Confirming a visitor in the App does not mean that person has been vetted, cleared, or verified by us. You remain solely responsible for your own safety and security decisions. Do not rely on the App as your sole means of controlling access or responding to emergencies.

2. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent that you meet this requirement.

3. Accounts and Verification

Bienvenido verifies accounts using your phone number through WhatsApp. You are responsible for maintaining the security of your phone number and account and for all activity that occurs under your account. You agree to provide accurate information and to keep it current. We may suspend or terminate accounts that we believe are fraudulent, abusive, or in violation of these Terms.

By creating an account or signing in, you consent to receive SMS text messages and WhatsApp messages from us (or our service providers) at the phone number you provide for login, verification, and account-security purposes, including one-time passcodes and confirmation messages. Message and data rates may apply depending on your carrier and plan. These messages are required to use the App; if you do not wish to receive them, do not create or use an account.

4. Acceptable Use

You agree not to:

  • use the App for any unlawful, harmful, fraudulent, or abusive purpose;
  • enter false, misleading, defamatory, or unlawful information;
  • harass, threaten, stalk, or harm any other person;
  • attempt to gain unauthorized access to the App, other accounts, or our systems;
  • interfere with, disrupt, reverse-engineer, or overload the App; or
  • use the App in any way that violates the rights of others or any applicable law.

We may suspend or terminate your access for any violation of these Terms.

5. Information You Enter; Responsibility for Others' Data

The App lets you enter information about visitors, guests, deliveries, and other people. You are solely responsible for any information you enter into the App.

By entering information about another person, you represent and warrant that you have the right to do so and that doing so does not violate any law or any other person's rights. We do not control, verify, or take responsibility for the information that users enter. We are not responsible or liable for any information entered into the App by you or any other user, including its accuracy, legality, or consequences.

You agree to indemnify and hold us harmless from any claim arising out of information you enter into the App, as described in Section 9.

6. Free Service; Changes and Availability

The App is currently provided free of charge. We reserve the right, at any time and at our sole discretion, to introduce fees or paid features, to modify, limit, suspend, or discontinue the App or any part of it, and to change these Terms. We do not guarantee that the App will be available, uninterrupted, error-free, or that notifications will always be delivered on time or at all.

7. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and share information. By using the App, you agree to the Privacy Policy.

8. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE APP WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE; THAT NOTIFICATIONS WILL BE DELIVERED; THAT THE APP WILL PREVENT, DETECT, OR RESPOND TO ANY SECURITY INCIDENT, INTRUSION, CRIME, OR HARM; OR THAT INFORMATION ENTERED BY USERS IS ACCURATE OR LAWFUL. YOU USE THE APP AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BIENVENIDO, ITS OWNERS, MEMBERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR SECURITY, ARISING OUT OF OR RELATING TO YOUR USE OF — OR INABILITY TO USE — THE APP, INCLUDING ANY HARM, LOSS, OR DAMAGE RESULTING FROM:

  • any information entered into the App by you or any other user;
  • any unauthorized access, breach of security, theft, trespass, property damage, or personal injury, whether or not occurring at a community that uses the App;
  • any failure, delay, or non-delivery of notifications; or
  • any reliance on the App for security or access control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Bienvenido and its owners, members, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the App, any information you enter into the App, or your violation of these Terms or of any law or third-party right.

11. Termination

You may stop using the App at any time. We may suspend or terminate your access to the App at any time, with or without notice, including for violation of these Terms. The provisions of these Terms that by their nature should survive termination — including Sections 5, 8, 9, 10, and 12 — will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the App will be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

13. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Bienvenido regarding the App. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms; we may assign them. We may update these Terms from time to time, and your continued use of the App after changes take effect constitutes acceptance.
